1. Scope of Services:

Our bookkeeping services shall include the recording and maintenance of financial transactions, bank reconciliation, and preparation of financial statements in accordance with Generally Accepted Accounting Principles (GAAP).

2. Confidentiality:

We will maintain the confidentiality of all client information and will not disclose any information to third parties unless required by law.

3. Data Access:

The client shall provide us with timely access to all financial records, documents, and other information necessary for us to perform the services outlined in section 1.

4. Client Responsibilities:

The client is responsible for providing accurate and complete financial information, for making timely payments for services rendered, and for resolving any discrepancies in a timely manner.

5. Payment Terms:

Our fees for services will be agreed upon in writing before the start of work, and invoiced monthly or as otherwise agreed upon in writing. Payments are due upon receipt of invoice.

6. Termination:

Either party may terminate this agreement at any time upon written notice to the other party. In the event of termination, all outstanding fees will become due immediately.

7. Limitation of Liability:

Our liability shall be limited to the total amount of fees received by us under this agreement. In no event shall we be liable for any indirect, special, incidental, or consequential damages arising from the performance of services under this agreement.

8. Dispute Resolution

Any disputes arising from this agreement shall be resolved through binding arbitration in accordance with the rules of the Arbitration Association.

9. Governing Law:

This agreement shall be governed by the laws of the jurisdiction in which the client is located.

10. Entire Agreement:

This agreement constitutes the entire understanding between the parties and supersedes all prior and contemporaneous agreements, understandings, and negotiations. This agreement may only be amended in writing signed by both parties.
